We sat down with Gonçalo Ladeira Santos to find out more about the Sharing Education Fund.

The Management Team of Magnify Afterburner SCR has international experience in managing private equity funds, together totalling > 1.3 Billion euros. With regard to developing International Schools in Portugal, the team has an experience of over 40 years in Education Development and Management.

Why did you decide to create the Sharing Education Fund?

The founders of the International Sharing Schools, the Ladeira Santos family, have launched the first and only fund focusing on Education, together with Magnify Afterburner SCF, with the goal of investing in international education businesses and supporting the expansion of the International Sharing Schools project and campuses in Portugal.

Yes. The majority of the investment has come from the founders, the Ladeira Santos family, holders or Participation Units A.

The Sharing Education Fund focuses on investing in schools & campuses in Portugal. Could you please explain why you see this particular sector as a good investment target?

It is clear that the education sector falls far behind other sectors when analysing its development and innovation over the last decades. The education sector remains very similar to what it was 50 years ago and we saw a clear opportunity for innovation. When looking at Portugal specifically, with more and more international families relocating to Portugal and with many International Schools operating with waitlists that can go up to 3 years, we saw a clear opportunity for growth in this sector. We currently have over 1000 students between our schools and charge the highest tuition fees in Portugal for a K-12 School.

How would you describe the Sharing Education Fund’s risk profile; Conservative, Moderate, or Ambitious?

Conservative, due to risk level we are exposed, the current option agreements in place and the buy-back options available for investors.

The Golden Visa rules state that a qualifying investment must be held for just five years but the Sharing Education Fund lifetime runs for longer. Could you please explain your fund lifetime including the launch date and subscription period?

The duration of the Fund has no conflict with the duration of the Golden Visa Program. By subscribing Participation Units Category C, the Golden Visa investors can exercise the buy-back option at the end of the 6th year. After exercising the buy-back option, the Fund will pay the initial investment and an IRR of 4%. The Golden Visa Investors will then exit the Fund. Nevertheless, the Golden Visa Investor, at that moment, may decide to continue. In this case, the Golden Visa Investor, from that moment onwards, will benefit from an IRR of 5%.

On average, how long does it take to onboard a Golden Visa investor into the Sharing Education Fund and what are the main obstacles in the onboarding process?

Once the Golden Visa investors has the admin process completed with the support of their advisors, including the local bank account, the subscription process for the Participation Units of Sharing Educaiton I takes 48 hours. Magnify directly handles the KYC-AML. Afterwards, the investor only must do the transfer to the depositary bank.

In general, some Golden Visa investors are cautious because of the funds' lock-in periods. How do you plan to deal with investors who wish to exit the Sharing Education Fund before its full lifetime?

As previously mentioned, for the Golden Visa Investors, as subscribers of Participation Units C, there is NO lock-in period. To be very clear - for GV purposes, which is our case, the client has to keep investment for the announced minimum period. At the end, he/she is free to leave or if not, to stay until maturity of the fund and be entitled to a higher IRR. If the GV investor wants to leave during the mandatory investment period, he/she would disqualify the Golden Visa application. In such cases, and if the fund has no secondary market, the Management Company will try its best to find an investor interested in buying the seized position, although not mandatory.

What distinguishes the Sharing Education Fund from other Golden Visa-eligible funds operating in the market?

The Sharing Education Fund is the only fund focusing on education in Portugal. This sector stands out as a remarkable investment opportunity, offering significant financial returns, while simultaneously creating a meaningful impact within both local and international communities. In addition to its noteworthy financial performance, the fund also serves a philanthropic mission, aligning with its commitment to social betterment.
